Welcome to Vendara Global.
These Terms & Conditions govern your use of the Vendara Global website and your interactions with us through this website.
By accessing or using this website, you agree to these Terms & Conditions. If you do not agree with them, please discontinue use of the website.
Vendara Global Ltd (“Vendara Global”, “Vendara”, “we”, “us” or “our”) is a company registered in Scotland, United Kingdom.
About Vendara Global Introduction
Vendara Global is an international sourcing and trading company specialising in selected African natural ingredients, food products, heritage textiles and related commercial supply.
We work with manufacturers, wholesalers, distributors, retailers, brands, fashion businesses and other professional buyers in the United Kingdom and international markets.
Products, services, markets and supply arrangements may change from time to time according to availability, commercial requirements and applicable regulatory considerations.
Website Information
We aim to ensure that information presented on this website is clear, accurate and current.
However, website content is provided for general information and commercial enquiry purposes and may be updated without notice.
Product descriptions, images, specifications, packaging formats, availability, minimum quantities, lead times and other information displayed on the website are indicative unless expressly confirmed in a written quotation, pro forma invoice, order confirmation or commercial agreement.
Product Information & Specifications
Natural products and artisan textiles may display reasonable variations resulting from origin, harvest, production method, batch, raw materials or craftsmanship.
Colours, textures, aromas, finishes, dimensions and other characteristics may therefore vary between batches or individual products.
Technical specifications and documentation applicable to a commercial order will be confirmed where relevant before or as part of the order process.
Website photographs and visual representations are intended to provide a reasonable indication of products but should not be treated as guarantees of exact colour, appearance, scale or finish.
Product Documentation
Depending on the product, batch and intended application, relevant supporting information may include:
Certificate of Analysis (CoA)
Technical Data Sheet (TDS)
Product specifications
Batch information
Origin documentation
Commercial invoices
Packing lists
Relevant shipping documentation
Customers requiring specific technical, regulatory, quality or origin documentation should communicate their requirements before placing an order so that availability and suitability can be confirmed.
Trade Enquiries & Quotations
Submitting an enquiry, requesting a quotation or requesting a trade sample does not create a contract between you and Vendara Global.
Commercial quotations may be based on factors including:
Product
Specification
Quantity
Packaging
Availability
Destination
Currency
Freight and logistics
Documentation requirements
Applicable taxes or duties
Agreed delivery terms
Each quotation will state its applicable terms and validity period.
Prices and availability may change after a quotation expires.
Orders & Acceptance
An order is subject to acceptance by Vendara Global.
Receipt of an enquiry, purchase order or other request does not necessarily constitute acceptance.
Where applicable, an order will be considered confirmed when the relevant commercial terms have been agreed, Vendara Global has accepted the order and any required deposit or payment has been received.
The applicable quotation, pro forma invoice, order confirmation and any separately agreed written commercial terms will form part of the transaction.
Pricing
Prices displayed on the website, where provided, are indicative unless expressly stated otherwise.
Commercial prices may vary according to product specifications, quantity, packaging, destination, shipping arrangements, currency movements and other relevant commercial factors.
Quotations will specify the applicable currency and pricing basis.
Applicable VAT, taxes, customs duties, import charges, delivery charges and other costs will be identified or allocated where appropriate according to the agreed transaction terms.
Payment
Payment terms will be stated in the applicable quotation, pro forma invoice or commercial agreement.
For initial or bespoke orders, Vendara Global may require a deposit or payment in advance.
Where a balance remains outstanding, dispatch or release of goods may be subject to receipt of cleared funds unless alternative written terms have been agreed.
Customers are responsible for ensuring that payments are made using the instructions stated on official Vendara Global documentation.
Samples
Trade samples may be available to qualifying business customers for product evaluation.
Sample availability, quantity, cost and delivery arrangements vary according to product, intended use and destination.
A sample represents the product supplied for evaluation but natural variation between batches may occur.
Providing a sample does not oblige Vendara Global to accept a subsequent commercial order or guarantee future availability.
Delivery & Lead Times
Estimated dispatch and delivery times will be provided where appropriate.
Delivery times are estimates unless expressly agreed otherwise in writing.
Shipping and delivery may be affected by circumstances outside our reasonable control, including carrier delays, customs procedures, port disruption, adverse weather, regulatory inspections or other supply-chain events.
Customers should therefore communicate any critical delivery requirements before confirming an order.
International Trade & Incoterms®
International transactions may be conducted using agreed Incoterms® 2020 rules where appropriate.
The applicable Incoterm, named place or port, transportation responsibilities, risk allocation and associated costs will be stated in the relevant quotation or commercial documentation.
Customers importing products into another country are responsible for understanding and complying with applicable import, customs, tax, regulatory and local-market requirements except to the extent expressly allocated otherwise under the agreed transaction terms.
Customs, Duties & Taxes
For international orders, customs duties, import taxes, VAT, clearance charges and other governmental charges may apply.
Responsibility for these charges will depend on the agreed delivery terms and destination.
Unless expressly stated otherwise in writing, customers are responsible for charges allocated to the buyer under the applicable agreed trade terms
Inspection & Notification
Business customers should inspect goods within a reasonable period after delivery.
Any apparent shortage, damage, incorrect product or other issue should be reported to Vendara Global promptly, together with relevant order information and reasonable supporting evidence.
Where goods may have been damaged during transportation, customers should retain the packaging and any relevant shipping documentation while the matter is investigated.
Returns & Cancellations
Returns, cancellations, replacements and refunds are subject to the nature of the product, reason for the request and applicable order terms.
Bespoke, customised, private-label, specially sourced or made-to-order goods may not be cancellable or returnable once procurement, production or customisation has commenced, except where required by applicable law or otherwise agreed in writing.
Customers should contact Vendara Global before returning any goods.
Nothing in these Terms & Conditions excludes rights that cannot lawfully be excluded.
Intended Use & Customer Responsibility
Customers are responsible for determining whether a product is appropriate for their intended application and market.
Where products are purchased for manufacturing, formulation, repackaging, resale, food use, cosmetic use or another regulated application, the customer is responsible for complying with regulatory requirements applicable to its own activities and market, except for obligations expressly assumed by Vendara Global.
Customers should review relevant specifications and documentation and undertake any assessment or testing reasonably required for their intended use.
Private Label & Bespoke Sourcing
Private-label, customised packaging and bespoke sourcing services may be offered for selected commercial projects.
Such projects may be subject to separate specifications, minimum quantities, deposits, lead times, approvals and commercial terms.
No bespoke sourcing or private-label project is confirmed until the applicable requirements have been agreed in writing
